1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Ethics Copilot ("we", "us", or "Company") governing your access to and use of our website, applications, assessments, reports, and related services (collectively, the "Service"). By creating an account, clicking "I agree", or using any part of the Service, you accept these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

2. Description of Service

Ethics Copilot provides guided AI-ethics assessments, automated risk reports, and a knowledge base of mitigations intended to help product, engineering, and compliance teams identify potential bias, privacy, transparency, and accountability issues in AI systems they are building or deploying. The Service is a decision-support tool. It does not replace independent legal, regulatory, security, or ethical review.

3. Eligibility & Accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) and able to form a binding contract to use the Service.

You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at our contact page if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

  • use the Service to violate any law or third-party right;
  • submit content that is unlawful, infringing, defamatory, or contains personal data you are not authorized to process;
  • probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure;
  • reverse engineer, scrape, or copy substantial portions of the Service except as permitted by law;
  • use the Service to build a competing product or to train a competing model;
  • interfere with other users' use of the Service, including by sending automated traffic or denial-of-service activity.

5. Subscription, Billing & Refunds

Paid plans are billed in advance on a recurring basis (monthly or annually, as selected at checkout) via our payment processor, Stripe. Pricing for each tier is shown on our pricing page and may change with prior notice; changes will not affect the current billing period.

You may cancel at any time from your account settings. Cancellation stops future renewals; access continues until the end of the current paid period. Except where required by law, fees already paid are non-refundable. If you believe you were billed in error, contact us within 30 days and we will review in good faith.

You are responsible for any taxes, duties, or similar charges associated with your purchase, other than taxes based on our net income.

6. Intellectual Property

The Service, including its software, design, content, knowledge base entries, and assessment frameworks, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal use, subject to these Terms.

All trademarks, logos, and brand elements of the Service are our property. You may not use them without our prior written consent.

7. User Content & Assessment Data

"User Content" means anything you submit to the Service — assessment answers, project descriptions, uploaded files, and similar inputs. You retain all rights to your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display your User Content solely to operate, secure, and improve the Service for you.

You are responsible for ensuring you have the rights and lawful basis to submit any User Content, particularly when it includes personal data, confidential information, or third-party material.

8. AI-Generated Outputs & Disclaimers

The Service uses automated systems, including large language models, to generate risk scores, summaries, recommendations, and mitigations ("Outputs"). Outputs are produced from your inputs and from general ethical and regulatory frameworks. They:

  • are not legal, regulatory, medical, financial, or professional advice;
  • may be incomplete, inaccurate, or out of date;
  • do not guarantee compliance with any law, standard, or framework, including the EU AI Act, GDPR, NIST AI RMF, or ISO/IEC 42001;
  • must be reviewed by qualified humans before being relied upon for any consequential decision.

You are solely responsible for decisions you make based on Outputs. We expressly disclaim liability for any reliance on Outputs to the maximum extent permitted by law.

9. Third-Party Services

The Service integrates with third-party providers (for example Stripe for payments, our cloud infrastructure provider, and the model providers powering AI features). Your use of those providers is governed by their own terms. We are not responsible for third-party services or their availability.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, use the Service in a way that risks harm to us or other users, or fail to pay fees when due. Where reasonable, we will give you notice and an opportunity to cure.

Upon termination, your right to use the Service ends. Sections that by their nature should survive (Intellectual Property, AI-Generated Outputs & Disclaimers, Limitation of Liability, Indemnification, Governing Law) survive termination.

11. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD 100. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for fraud or gross negligence).

12. Indemnification

You will defend, indemnify, and hold us harmless from any third-party claim, damage, liability, or cost (including reasonable legal fees) arising from your User Content, your use of the Service in violation of these Terms, or your violation of applicable law or any third-party right.

13. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which the Company is established, without regard to its conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any competent court to protect our intellectual property.

Before filing a formal claim, you agree to first contact us in good faith and attempt to resolve the dispute informally for at least 30 days.

14. Changes to Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, give reasonable advance notice (for example by email or an in-product notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
